1. Who you are contracting with

These Terms form an agreement between you and ProGini, Inc., a company that operates the LanBid service (the "Service"). References to "we", "us", and "our" mean ProGini, Inc.

2. Acceptance

By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

3. The Service

LanBid helps contractors discover relevant U.S. federal contracting opportunities sourced from public datasets including SAM.gov. The Service surfaces matches, alerts, and AI-generated bid guidance. We do not guarantee that any opportunity shown will be awarded to you or that information from third-party sources is complete, current, or error-free.

4. Accounts

  • You must provide accurate information and keep it up to date.
  • You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
  • You must be of legal age to form a binding contract.

5. Acceptable use

You must not:

  • Use the Service for unlawful purposes, fraud, or spam.
  • Infringe intellectual property or other rights of any party.
  • Interfere with security or integrity of the Service, including probing, scanning, scraping at scale, or transmitting malware.
  • Resell, redistribute, or sublicense the Service or its content.
  • Reverse engineer or attempt to circumvent technical limits.

6. License

Subject to these Terms and your active subscription, we grant you a limited, non-exclusive, non-transferable right to access and use the Service for your internal business purposes.

7. Intellectual property

We retain all right, title, and interest in the Service, including software, content we produce, branding, and documentation. Nothing in these Terms transfers ownership of our IP to you.

8. Subscriptions, billing, and payment processing

Payment processing for subscriptions is handled by Stripe. By subscribing, you also agree to Stripe's terms of service. Subscription fees, billing cycles, taxes, payment methods, cancellations, and refunds are governed by these Terms and our Refund Policy.

Subscriptions renew automatically until canceled. You can cancel at any time through the in-app billing portal. When you cancel, access continues until the end of the current billing period and then ends.

9. Free trial

We may offer a 14-day free trial. If you do not cancel before the trial ends, your subscription will start and your payment method will be charged the applicable recurring fee.

10. Suspension and termination

We may suspend or terminate your access for material breach of these Terms, for non-payment, for suspected fraud or security risk, or for repeated or serious policy violations. You may stop using the Service and cancel your subscription at any time.

11. Warranties and disclaimer

The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all implied warranties including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any opportunity surfaced will result in an award.

12. Limitation of liability

To the fullest extent permitted by law, our aggregate liability arising out of or relating to the Service will not exceed the fees you paid to us in the twelve months preceding the event giving rise to liability. We will not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill. Nothing in these Terms limits liability that cannot be limited under applicable law.

13. Indemnification

You will indemnify and hold ProGini, Inc. harmless from third-party claims arising from your unlawful use of the Service or your violation of these Terms.

14. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in Delaware.

15. Changes

We may update these Terms from time to time. Material changes will be notified via the Service or by email. Continued use after the effective date constitutes acceptance of the updated Terms.
